Terms of Service

These Terms of Service (the "Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Token Limited, a company incorporated in Hong Kong ("TokenMix," "we," "us," or "our"), governing your access to and use of the TokenMix.ai platform, API gateway services, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms in their entirety.
1. Description of Service
TokenMix operates an AI API gateway platform that provides a unified, OpenAI-compatible interface for accessing large language models from third-party providers (each an "Upstream Provider").
TokenMix is an intermediary gateway service. We route your API requests to Upstream Providers and relay their responses back to you. We do not develop, train, fine-tune, or host any AI models ourselves. The quality, accuracy, and availability of model outputs are determined by the respective Upstream Providers.
The Service is accessible at tokenmix.ai (website) and api.tokenmix.ai (API endpoint).
The Service is subject to rate limits and usage quotas that vary by account tier. Requests exceeding applicable rate limits may be throttled or rejected. Rate limiting does not constitute a service disruption or outage.
2. Eligibility
You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.
By using the Service, you represent and warrant that you meet these eligibility requirements. We reserve the right to request proof of age at any time and to suspend or terminate accounts that do not meet these requirements.
3. Account Registration and Security
To access the Service, you must create an account by providing a valid email address and setting a password. You agree to:
- Provide accurate, current, and complete registration information;
- Maintain and promptly update your account information;
- Keep your password and API keys confidential and secure;
- Immediately notify us at [email protected] of any unauthorized use of your account;
- Accept full responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate any account that we reasonably believe has been compromised, is being used fraudulently, or violates these Terms.
4. Payment, Billing, and Refunds
4.1 Prepaid Credits
The Service operates on a prepaid credit system. You must purchase credits before making API requests. Credits are denominated in US dollars. Internally, credits are tracked in micro-dollar units (1 USD = 1,000,000 micro-dollars) to ensure precise billing for API usage.
4.2 Payment Methods
We support multiple payment methods, which may include credit/debit cards, Alipay, WeChat Pay, and other payment services. The available payment methods are displayed on our payment page and may change from time to time. All payments are processed by the respective third-party payment processors. We do not store your full payment card details.
4.2A Cryptocurrency Payments
Cryptocurrency payments, when available, are accepted solely as a payment method for topping up TokenMix account credits. Cryptocurrency payments are processed by third-party payment providers. TokenMix does not provide cryptocurrency wallets, custody, exchange, transfers, on-chain settlement, token issuance, or any other virtual asset services.
You represent and warrant that any cryptocurrency used for payment does not constitute the proceeds of crime or otherwise violate applicable law. Due to the nature of blockchain transactions, cryptocurrency payments may be final or irreversible once confirmed. Refund requests involving cryptocurrency payments are subject to manual review and may be processed as account credits or through an available payment method at TokenMix's discretion.
4.3 Credit Expiration
Purchased credits do not expire. Your credit balance will remain available in your account indefinitely, for as long as your account remains active and in good standing.
4.4 Pricing
API usage is billed on a per-token basis, with rates varying by model. Current pricing is displayed on our pricing page and may be updated from time to time. Pricing changes will be announced on the website at least 7 days in advance and will not affect credits already purchased.
4.5 Refund Policy
We offer refunds under the following conditions:
- Within 14 days of purchase: If you have not consumed any of the purchased credits, you may request a full refund by contacting [email protected].
- Partially consumed credits: If you have consumed a portion of the purchased credits within the 14-day period, we will refund the remaining unused portion.
- After 14 days: Refunds are not available for purchases made more than 14 days ago, regardless of whether credits have been consumed.
- Service disruption: If a material service disruption caused by us prevents you from using the Service for more than 72 consecutive hours, you may request a pro-rata refund for the affected period.
Refunds will be processed to the original payment method within 5–10 business days. We reserve the right to deny refund requests that we reasonably believe are fraudulent or abusive.
5. Acceptable Use Policy
You agree to use the Service in compliance with all applicable laws and regulations. The following activities are strictly prohibited:
5.1 General Prohibitions
- Using the Service for any unlawful purpose or to facilitate illegal activities;
- Attempting to circumvent rate limits, usage quotas, or other technical restrictions;
- Reverse engineering, decompiling, or disassembling any part of the Service;
- Interfering with or disrupting the integrity or performance of the Service;
- Using automated tools to scrape, crawl, or index the Service (other than through the provided API).
5.2 AI-Specific Prohibitions
- Generating child sexual abuse material (CSAM) or any content that sexualizes minors;
- Creating non-consensual deepfakes or synthetic media that impersonates real individuals without their consent;
- Attempting to circumvent, bypass, or disable safety filters, content moderation systems, or other safeguards implemented by Upstream Providers;
- Using model outputs to make fully automated decisions that produce legal effects or similarly significant effects on individuals (e.g., automated hiring decisions, credit scoring, criminal risk assessment) without meaningful human oversight;
- Using model outputs to develop, train, fine-tune, or distill competing AI models without explicit authorization from the relevant Upstream Provider;
- Generating spam, phishing content, malware code, or other content designed to harm or deceive;
- Generating content that constitutes regulated professional advice (medical, legal, financial) and presenting it as authoritative without appropriate disclaimers.
Violation of this Acceptable Use Policy may result in immediate account suspension or termination, forfeiture of remaining credits, and, where applicable, reporting to law enforcement authorities.
6. Export Controls and Sanctions
You represent and warrant that you are not located in, and are not a national or resident of, any country or territory that is subject to comprehensive economic sanctions by the United Nations, the United States, the European Union, or the Hong Kong Special Administrative Region.
You agree to comply with all applicable export control laws, trade sanctions, and import/export regulations. You shall not use the Service in any manner that would cause TokenMix to violate any applicable sanctions or export control laws. We reserve the right to restrict access to the Service from any jurisdiction at our sole discretion.
7. Third-Party Model Provider Terms
When you use the Service to access models from Upstream Providers, you acknowledge and agree that:
- Your use of each model is also subject to the respective Upstream Provider's terms of service, acceptable use policies, and usage policies;
- It is your responsibility to review and comply with the applicable terms of each Upstream Provider whose models you access;
- Each Upstream Provider publishes their own terms and policies on their website. You are responsible for reviewing the applicable terms before using a specific model;
- In the event of a conflict between these Terms and an Upstream Provider's terms, the more restrictive provision shall apply.
8. API Key Restrictions
API keys issued to your account are personal, non-transferable credentials. You agree that you will not:
- Resell access to the Service by sharing your API keys with third parties in exchange for payment;
- Sublicense your API keys or allow others to use them as part of a commercial offering;
- Share your API keys publicly (e.g., in open-source repositories, forums, or documentation);
- Distribute your API keys to multiple unrelated parties or use a single account to serve multiple distinct organizations.
If you inadvertently expose an API key, you should immediately revoke it through your dashboard and generate a new key. We are not responsible for unauthorized usage resulting from exposed API keys.
9. Intellectual Property
The Service, including its software, design, documentation, trademarks, and all related intellectual property, is owned by TokenMix and protected by applicable intellectual property laws.
We do not claim ownership of the content you submit through the API ("Input") or the content generated by Upstream Provider models ("Output"). Ownership and rights to Input and Output are governed by the respective Upstream Provider's terms.
You grant us a limited, non-exclusive license to process your Input solely for the purpose of providing the Service (i.e., routing requests to Upstream Providers and returning responses).
10. Feedback
If you provide us with any feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, and incorporate such Feedback into the Service without any obligation of compensation or attribution to you. You acknowledge that we may already be developing or may independently develop features or improvements similar to your Feedback.
11. Confidentiality
"Confidential Information" means any non-public information disclosed by either party to the other in connection with the Service, including but not limited to API keys, account credentials, pricing details, and technical specifications. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed by the receiving party; or (d) is lawfully obtained from a third party without restriction.
Each party agrees to protect the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care. Neither party shall disclose the other party's Confidential Information to any third party except as necessary to perform its obligations under these Terms or as required by law.
12. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide reasonable advance notice when practicable);
- Upstream Provider outages or degradations;
- Infrastructure issues beyond our reasonable control;
- Emergency security patches or updates.
We do not currently offer a formal Service Level Agreement (SLA). Service status information may be made available at our discretion.
13. Data Handling
For detailed information about how we collect, use, and protect your data, please refer to our Privacy Policy. Key points regarding data handling in the context of API usage:
- We log API request metadata (timestamps, model used, token counts, cost, latency, status codes, request IDs, API key identifiers, and related operational metadata) for billing, debugging, service operation, abuse prevention, support, and dispute handling;
- Standard API request logs do not store request or response body content. Where necessary for security investigation, abuse handling, support troubleshooting, payment disputes, or legal compliance, limited request and response records may be stored in encrypted, access-controlled internal archives;
- We do not use your API request content, model responses, or archived request records to train, fine-tune, or improve any AI models;
- API request content is transmitted to the relevant Upstream Provider for processing; their data handling practices are governed by their own privacy policies.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
To the fullest extent permitted by applicable law, we expressly disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
- Any warranty that the Service will be uninterrupted, timely, secure, or error-free;
- Any warranty regarding the accuracy, reliability, completeness, or usefulness of any AI model output;
- Any warranty that model outputs will be free from bias, harmful content, or factual errors;
- Any warranty regarding the availability or performance of Upstream Provider models.
AI model outputs are generated by third-party models and may contain inaccuracies, biases, or inappropriate content. You acknowledge that you are solely responsible for evaluating and using model outputs, and that such outputs should not be relied upon as a substitute for professional advice.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- In no event shall TokenMix, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill;
- Our total aggregate liability for all claims arising out of or relating to the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim;
- We shall not be liable for any losses arising from: (a) the content of AI model outputs; (b) your reliance on model outputs; (c) actions of Upstream Providers; or (d) unauthorized access to your account resulting from your failure to maintain the security of your credentials.
16. Indemnification
You agree to indemnify, defend, and hold harmless TokenMix and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service or any AI model outputs;
- Content you submit through the API or generate using the Service;
- Your violation of these Terms or any applicable law;
- Your violation of any Upstream Provider's terms or policies;
- Any third-party claim arising from your application or service that integrates with our API;
- Your failure to obtain necessary consents or authorizations for the data you process through the Service.
17. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms (other than payment obligations) to the extent that such failure or delay results from circumstances beyond the party's reasonable control, including but not limited to: natural disasters, pandemic, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, Upstream Provider outages or policy changes, and failures of third-party infrastructure providers.
The affected party shall promptly notify the other party of the force majeure event and make reasonable efforts to mitigate its impact. If a force majeure event continues for more than 60 consecutive days, either party may terminate these Terms upon written notice.
18. Termination
You may terminate your account at any time by contacting [email protected] or through your account settings. Upon voluntary termination:
- Your access to the Service will be revoked;
- Any remaining credits will be handled in accordance with the Refund Policy in Section 4.5;
- We will retain your data as described in our Privacy Policy.
We may suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms or our Acceptable Use Policy;
- Your use of the Service poses a security risk to us or other users;
- We are required to do so by law or by an Upstream Provider;
- Your account has been inactive for more than 24 consecutive months.
Upon termination for cause (violation of Terms), any remaining credits may be forfeited at our discretion. Upon termination due to inactivity, we will make reasonable efforts to notify you at least 30 days in advance, and any remaining credits will be handled in accordance with the Refund Policy in Section 4.5.
19. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms shall first be resolved through good-faith negotiation between the parties for a period of not less than 30 days. If the dispute cannot be resolved through negotiation, either party may elect to submit the dispute to:
- Arbitration: Binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force at the time of filing. The arbitration shall be conducted in English, with the seat of arbitration in Hong Kong. The arbitral tribunal shall consist of a single arbitrator. The arbitrator's award shall be final and binding on both parties; or
- Litigation: The exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.
The election of arbitration or litigation shall be made by the party initiating the dispute resolution proceeding and shall be binding on both parties for the duration of that proceeding.
20. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page;
- Provide notice through the Service (e.g., via email or dashboard notification) at least 14 days before the changes take effect.
Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may request a refund for any unused credits.
21. Consent to Electronic Communications
By creating an account and using the Service, you consent to receive electronic communications from us, including but not limited to service announcements, billing notifications, policy updates, security alerts, and legal notices. These electronic communications satisfy any legal requirement that such communications be made in writing. You may update your communication preferences through your account settings, but you may not opt out of receiving essential service-related and legal notices.
22. Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. Any attempted assignment in violation of this section shall be void. We may assign these Terms, in whole or in part, to any affiliate or successor entity in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, without your consent but with prior notice to you.
23. Waiver
The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by the waiving party.
24. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely achieves the original intent.
25. Entire Agreement
These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and TokenMix with respect to the Service, and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and TokenMix regarding the Service.
